The legal framework for associations and foundations in Luxembourg has recently changed. This law introduces new rules that must be followed to continue operating legally.
Structures that have not updated their statutes or published information for several years risk sanctions, including dissolution.

What to Do if Dissolution Is Initiated by the RCS?
If your association has not submitted information to the RCS for several years, it may be considered inactive. In this case, dissolution proceedings may be initiated.
You can choose to do nothing, which may result in the automatic deletion of the association after six months. It is also possible to challenge this decision in court, but this often involves lengthy and costly procedures. The quickest solution is to update your file with the RCS to stop the process. And if you have already started a voluntary liquidation, it is important to complete it and publish the necessary information to ensure everything is in order.
